MEDIENMITTEILUNG Lalique Group gibt Vereinbarung über den Erwerb von Aktien durch DS Group sowie Zeitplan und Parameter der geplanten Bezugsrechtsemission bekannt Den bestehenden Aktionären werden Bezugsrechte gewährt, die sie berechtigen, für je 5 Aktien, die sie per 2. Juli 2019 nach Börsenschluss an der SIX Swiss Exchange halten, eine neue Aktie von Lalique Group zum Bezugspreis von CHF 40 zu zeichnen. Um den Free Float von derzeit rund 28% zu erhöhen und die Investorenbasis zu verbreitern, verzichtet Silvio Denz auf die Ausübung seiner Bezugsrechte. Die Bezugsfrist dauert voraussichtlich vom 3. bis zum 9. Juli 2019. Aktien, für welche die Bezugsrechte nicht ausgeübt werden, sollen unmittelbar im Anschluss an die Bezugsfrist durch Lalique Group im Markt platziert werden. Die Kotierung und der erste Handelstag der neuen Aktien an der SIX Swiss Exchange sind für den 12. Juli 2019 geplant. Lead Manager der Kapitalerhöhung ist die Zürcher Kantonalbank. Wie bereits kommuniziert, steht die Kapitalerhöhung im Zusammenhang mit der am 29. März 2019 abgeschlossenen Akquisition von The Glenturret, Schottlands ältester noch operativer Destillerie für Single Malt Whisky. Der in bar abgegoltene Kaufpreis von GBP 15.5 Mio. für die von Lalique Group erworbene 50%-Beteiligung an The Glenturret sowie Betriebskapital in Höhe von ca. CHF 4 Mio. wurden durch ein Aktionärsdarlehen von Silvio Denz finanziert. Mit dem Erlös aus der Kapitalerhöhung sollen dieses Aktionärsdarlehen teilweise refinanziert sowie weitere Investitionen und Wachstumsprojekte von Lalique Group finanziert werden. Vereinbarung mit DS Group In einem zweiten Schritt wird DS Group im Rahmen der Kapitalerhöhung insgesamt 464’000 bis 564’000 neue Aktien zeichnen. Unter der Annahme, dass die vollständige Anzahl neuer Aktien ausgegeben wird, halten Silvio Denz nach Abschluss der Kapitalerhöhung ca. 56% und DS Group ca. 11-12% an Lalique Group, und der Free Float wird sich auf bis zu 33% erhöhen. Als dritten Schritt beinhaltet die Vereinbarung eine Option für DS Group, nach Abschluss der Kapitalerhöhung und bis zum 31. März 2020 weitere 360’000 Lalique-Group-Aktien von Silvio Denz zum Preis von CHF 45 pro Aktie zu erwerben. Silvio Denz bleibt auch im Falle einer Ausübung der Option Mehrheitsaktionär von Lalique Group. Im Rahmen der Kapitalerhöhung hat er sich verpflichtet, seine Beteiligung über die Vereinbarung mit DS Group hinaus während der nächsten 12 Monate nicht weiter zu reduzieren, während DS Group einem 6-monatigen Lock-up ihrer Lalique-Group-Aktien zugestimmt hat. DS Group wurde 1929 als kleines Parfüm-Geschäft gegründet und ist heute ein breit diversifiziertes Konglomerat mit Hauptsitz in Noida, Indien. Ihr Portfolio erstreckt sich unter anderem auf die Bereiche Food & Beverage, Hospitality, Verpackungen und Landwirtschaft.
